1. Acceptance of Terms

By creating an account, accessing, or using Onzup, you confirm that you:

• Are at least 18 years of age
• Have the authority to enter into this agreement
• Will comply with applicable laws and regulations
• Accept these Terms and our Privacy Policy

2. Service Description

Onzup provides an employee productivity system including:

• Employee activity monitoring
• Screenshot capture and review
• App and website usage tracking
• Active and idle time visibility
• Productivity reports and exports
• Alerts and operational review workflows

We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.

3. Subscription and Payment

3.1 Subscription Plans

Onzup offers multiple subscription tiers with distinct features and pricing.

3.2 Billing

• Subscriptions are billed monthly or annually in advance
• Fees are charged in Indian Rupees (INR), unless stated otherwise
• Payment is due on invoice generation
• Payments may include card, net banking, and UPI options
• Applicable GST and taxes apply

3.3 Refunds

Refunds may be considered case-by-case within 14 days of initial purchase. After that period, subscription fees are generally non-refundable.

3.4 Cancellation

You may cancel at any time. Cancellation takes effect at the end of the active billing period. Partial-period prorated refunds are not provided.

4. User Responsibilities

You agree to:

• Provide accurate and complete registration details
• Keep account credentials secure
• Notify us of unauthorized account access
• Use the Services only for lawful purposes
• Comply with applicable privacy and data-protection laws
• Not reverse engineer, disrupt, or misuse the platform
• Not upload malicious or harmful content

5. Intellectual Property

5.1 Our IP

All rights, title, and interest in Onzup, including software, trademarks, logos, and content, remain with ONZUP. You receive a limited, non-exclusive, non-transferable right to use the Services.

5.2 Your Content

You retain ownership of uploaded content. You grant us a limited license to process and store that content solely to provide the Services.

6. Data Security and Privacy

We apply industry-standard controls, but no system is fully risk-free. Internet transmission has inherent risk, and customers should maintain independent backups in addition to platform controls.

7. Limitation of Liability

• Services are provided "AS IS" without warranties to the extent permitted by law
• We are not liable for indirect, incidental, or consequential damages
• Total liability is limited to fees paid in the 12 months preceding a claim
• We are not responsible for third-party tools or integrations
• We are not liable for force majeure or user-caused data loss

8. Indemnification

You agree to indemnify and hold harmless ONZUP and its officers, directors, employees, and agents from claims, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

9. Termination

We may suspend or terminate access for reasons including:

• Violation of these Terms
• Non-payment
• Fraudulent or unlawful activity
• Operational or legal reasons with notice where applicable

10. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the jurisdiction of courts in Rajkot, Gujarat, India.

10.1 Dispute Resolution

Parties agree to attempt good-faith resolution before legal action. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

11. Changes to Terms

We may update these Terms from time to time. Material updates are communicated before taking effect. Continued use of Services after changes indicates acceptance of the revised Terms.

12. Miscellaneous

12.1 Entire Agreement

These Terms and the Privacy Policy form the complete agreement between you and ONZUP regarding use of the Services.

12.2 Severability

If any provision is found unenforceable, all other provisions remain in full force.

12.3 Assignment

You may not assign these Terms without consent. We may assign rights and obligations to successors or affiliated entities.
